1. Acceptance of Terms
Welcome to Designers Circle, a trading name of Uber Interiors Ltd ("Designers Circle", "we", "us", or "our"). These Terms and Conditions ("Terms") constitute a legally binding agreement governing your access to and use of the Designers Circle website, platform, and related services (collectively, the "Services"). By creating an account, accessing, or using the Services in any manner, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.
2. Definitions
- Platform: Refers to the Designers Circle website, its subdomains, and all related services, features, tools, software, and content operated by Uber Interiors Ltd, trading as Designers Circle.
- User: Any individual or entity, including Trade Professionals and Public Users, who accesses or uses the Services.
- Trade Professional: A verified interior designer, architect, or other trade professional using the Services for commercial purposes.
- Public User: A retail customer using the Services for personal, non-commercial use.
- RRP: Recommended Retail Price.
- Quotation: A detailed document generated by the Platform outlining items, costs, discounts, and total spend for a proposed order.
3. User Accounts & Subscription Services
3.1. Account Registration
Users must register for an account to access the full scope of the Services. You agree to provide accurate, current, and complete information and to maintain the accuracy of such information.
3.2. Account Verification
Trade Professional Accounts: Users seeking this status must submit to a verification process. Approval is at our sole discretion. Trade Professionals gain access to proprietary pricing and client management tools.
3.3. Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any suspected unauthorized use.
3.4. Subscription for Trade Professionals
Free Trial: Eligible new Trade Professionals may be offered a one-time 14-day free trial. Annual Subscription: Continued access to trade-specific features is contingent upon payment of the annual subscription fee of £1000. Fees are billed in advance and are non-refundable except as explicitly stated or required by law. Monthly Subscription: Trade Professionals may alternatively subscribe on a monthly basis for £100 per month. Monthly subscription fees are billed in advance and are non-refundable except as explicitly stated or required by law. Cancellation of a monthly subscription will take effect at the end of the current paid billing period unless otherwise stated. Automatic Renewal: Your subscription will automatically renew for successive one-year terms unless you cancel your subscription through your account settings prior to the renewal date. Outstanding Order Obligations: Cancellation or expiry of a Trade Professional subscription does not cancel, alter, or affect any existing furniture orders, accepted quotations, invoices, deposits, or other payment obligations incurred prior to the cancellation or expiry of the subscription. The subscriber remains fully responsible for paying all outstanding balances in accordance with these Terms.
4. Pricing, Quotations, and Payments
4.1. Pricing
Pricing structures for Trade Professionals, including unit costs displayed exclusive of VAT (Ex. VAT) and the corresponding Recommended Retail Prices (RRP), are detailed on the Platform. All prices are displayed in Pounds Sterling (£ GBP). Unless otherwise stated, unit costs are shown exclusive of VAT.
4.2. Payment Workflow
Deposit: A non-refundable deposit of fifty percent (50%) of the total quoted value is required to confirm an order. Payment of the deposit constitutes acceptance of the Quotation and initiates the procurement process. Balance Payment: The remaining fifty percent (50%) balance is due upon notification that the goods are ready for shipment from the Suppliers. We will not authorize the final dispatch of any goods until the balance is paid in full. Payment Processors: We utilize third-party payment processors (Stripe). Your use of these services is subject to their respective terms and conditions.
5. Order Process and Logistics
5.1. Supplier Coordination
The Platform serves as an intermediary to facilitate procurement. We are not the manufacturer or seller of the goods. All product warranties, if any, are provided by the respective Supplier.
5.2. Lead Times
All specified lead times are good-faith estimates provided by Suppliers and are not guaranteed. We shall not be liable for any delays in manufacturing or delivery that are beyond our reasonable control.
5.3. Optional Storage & White-Glove Installation
These are optional, value-added services offered for an additional fee. The scope and terms of these services will be presented at the time of offer. You are responsible for ensuring that the delivery location is accessible and safe for our installation team.
6. Cancellations and Returns
6.1. Cancellations
An order cannot be cancelled once the 50% deposit has been paid, as funds are committed to Suppliers. The deposit is strictly non-refundable.
6.2. Returns and Defects
We do not accept returns for buyer's remorse ("change of mind"). Goods may only be returned if they are delivered in a damaged or defective condition. You must inspect all goods upon delivery and report any damage or defects, with photographic evidence, within 48 hours of receipt. Our sole obligation will be to facilitate a claim with the Supplier for repair, replacement, or refund, at the Supplier's discretion and in accordance with your statutory rights.
7. Intellectual Property Rights
7.1. Our Intellectual Property
All content, software, databases, trademarks, logos, designs, text, graphics, and other intellectual property comprising the Services (the "Platform IP") are the exclusive property of Uber Interiors Ltd, trading as Designers Circle, or its licensors, and are protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform IP solely for the purpose of using the Services in accordance with these Terms.
7.2. User Content
You retain all ownership rights to the content you upload or create on the Platform, such as furniture schedules, client notes, or project details ("User Content"). However, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely to operate, provide, and improve the Services.
8. User Conduct
You agree not to use the Services to:
- Violate any applicable local, state, national, or international law.
- Infringe upon the intellectual property rights of others.
- Scrape, reverse-engineer, decompile, or otherwise attempt to discover the source code of the Platform.
- Transmit any viruses, malware, or other malicious code.
- Engage in any activity that is fraudulent, abusive, or harmful to the Platform or its Users.
9. Confidentiality
For Trade Professionals, all non-public information provided by us, including but not limited to unit costs and supplier details, shall be considered "Confidential Information." You agree to hold this Confidential Information in strict confidence and not to disclose it to any third party or use it for any purpose other than as permitted by your use of the Services.
10. Indemnification
You agree to indemnify, defend, and hold harmless Uber Interiors Ltd, trading as Designers Circle, together with its directors, officers, employees, contractors, agents, affiliates, and licensors, from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- your access to or use of the Services;
- your breach of these Terms;
- your violation of any applicable law or regulation; or
- your infringement of any intellectual property or other rights of any third party.
11. Disclaimer of Warranties & Limitation of Liability
11.1. Disclaimer
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, secure, or error-free.
11.2. Limitation of Liability
To the maximum extent permitted by applicable law, Uber Interiors Ltd, trading as Designers Circle, shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including, without limitation, any loss of profits, revenue, business opportunities, goodwill, or data, arising out of or in connection with your use of the Services. Subject to Section 11.1 and to the fullest extent permitted by law, our total aggregate liability to you for all claims arising out of or relating to the Services or these Terms shall not exceed the greater of: (a) the total fees paid by you to us during the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred pounds sterling (£100).
12. General Provisions
12.1. Entire Agreement
These Terms, together with our Privacy Policy and any other policies or documents expressly incorporated by reference, constitute the entire agreement between you and Uber Interiors Ltd, trading as Designers Circle, regarding your access to and use of the Services and supersede all prior or contemporaneous agreements, understandings, representations, and communications relating to the Services.
12.2. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck, and the remaining provisions will be enforced to the fullest extent under law.
12.3. Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
12.4. Force Majeure
We shall not be liable for any failure to perform our obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation, acts of God, war, or governmental action.
12.5. Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms, at our sole discretion, without restriction.

Any notices or other communications provided by us under these Terms will be given by posting to the Platform or by email to the address associated with your account.
